Terms and Conditions

1. Introduction

These Terms and Conditions (“Terms”) govern your use of the website and services provided by Groupsia. By accessing our website or engaging our services, you agree to comply with and be bound by these Terms. These Terms apply to all customers, clients, and users.

2. Definitions

In these Terms, ‘Customer’ means any person or entity engaging our services. ‘Goods’ refers to signage products supplied by us. ‘Services’ include design, manufacturing, and installation. ‘Agreement’ refers to any contract formed under these Terms.

3. Intellectual Property Rights

All intellectual property including designs, drawings, concepts, artwork, layouts, and website content remain the exclusive property of Groupsia. No part may be copied, reproduced, modified, or used for commercial purposes without prior written consent.

4. Quotes and Pricing

All quotes are provided based on initial information and are valid for 14 days unless stated otherwise. Prices are subject to change depending on final scope, material availability, site conditions, and design adjustments.

5. Orders and Payment Terms

Orders are confirmed upon written acceptance. A deposit is required before work commences. Remaining balances must be paid in accordance with agreed terms. Late payments may incur interest, administrative fees, and recovery costs.

6. Retention of Title

Ownership of all goods remains with Groupsia until full payment has been received. Until ownership passes, Groupsia reserves the right to reclaim goods where payment is outstanding.

7. PPSR

Groupsia may register its interest in goods supplied under the Personal Property Securities Act 2009 (Cth) to secure payment obligations.

8. Client Responsibilities

The Customer must provide accurate information, approvals, and access to the site. Groupsia is not responsible for errors resulting from incorrect or incomplete information provided by the Customer.

9. Design Approval

All designs must be approved prior to production. Once approved, the Customer accepts responsibility for all content, including spelling, layout, and specifications.

10. Production and Installation

Groupsia will use reasonable care and skill in production and installation. However, we are not liable for issues arising from site conditions, third-party contractors, or structural limitations.

11. Delays and Force Majeure

Groupsia is not liable for delays caused by events beyond reasonable control including weather, supplier delays, government restrictions, or other unforeseen circumstances.

12. Defects and Warranty

The Customer must inspect goods upon completion. Any defects must be reported within a reasonable timeframe. Warranty is limited and subject to environmental conditions, usage, and maintenance.

13. Insurance

The Customer is responsible for ensuring appropriate insurance coverage where required, including public liability and property insurance.

14. Indemnity

The Customer indemnifies Groupsia against any claims, damages, or losses arising from materials, instructions, or specifications provided by the Customer.

15. Limitation of Liability

To the maximum extent permitted by law, Groupsia’s liability is limited to the value of the services provided. Groupsia is not liable for indirect, incidental, or consequential damages.

16. Liquidated Damages

If delays are caused by the Customer, Groupsia reserves the right to claim reasonable costs incurred as a result of such delays.

17. Dispute Resolution

Any disputes arising under these Terms shall first be resolved through good faith negotiation, followed by mediation before legal proceedings.

18. Governing Law

These Terms are governed by the laws of New South Wales, Australia.
